Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Nula Partners platform ("Platform", "Service") operated by Kamal Agbaria (Reg. No. 034650887) under the brand name Nula ("we", "us", "our"). By subscribing to a plan or using the Platform, you ("Business", "you", "your") agree to be bound by these Terms.
Nula Partners is a business management platform that provides subscription-based tools for scheduling, client management, marketing, and business analytics. These Terms apply exclusively to businesses that subscribe to and use the Nula Partners dashboard.
2. Payment Processing
Payments on the Platform are processed by AllPay (allpay.co.il) on behalf of Nula. Nula is the merchant and handles all billing, invoicing, and customer support.

3. Subscription Plans
3.1 Plan Tiers
We offer multiple subscription plans with varying features and limits. Details of each plan, including pricing, features, and usage limits, are displayed on our pricing page and within the Partners dashboard.
3.2 Free Trial
We may offer a free trial period for new subscribers. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. No charge is made during the trial period.
3.3 Billing Cycle
Subscriptions are billed on a recurring basis — either monthly or annually, depending on the plan you select. Billing begins on the date of your initial subscription and recurs on the same date each billing cycle.
3.4 Auto-Renewal
All subscriptions automatically renew at the end of each billing cycle at the then-current rate. You will be charged through AllPay using the payment method on file. You may cancel auto-renewal at any time from your subscription settings before the next renewal date.
4. Plan Changes
4.1 Upgrades
You may upgrade your plan at any time. Upgrades take effect immediately. You will be charged a prorated amount for the remainder of your current billing cycle, and your new plan rate applies from the next renewal.
4.2 Downgrades
You may downgrade your plan at any time. Downgrades take effect at the end of your current billing cycle. You retain access to your current plan features until the cycle ends. If your usage exceeds the limits of the new plan, you may be required to adjust your usage before the downgrade takes effect.
5. Cancellation
You may cancel your subscription at any time through the Partners dashboard or by contacting our support team. Upon cancellation:
- Your subscription remains active until the end of the current billing cycle.
- No further charges will be made after cancellation unless you resubscribe.
- You retain access to all plan features until the billing period ends.
- After the billing period ends, your account will revert to a free tier (if available) or become inactive.
6. Payment & Pricing
6.1 Currency & Taxes
Prices are displayed in NIS (New Israeli Shekel). All applicable taxes are calculated and included by Nula.
6.2 Payment Methods
AllPay supports major credit and debit cards. Your payment information is securely processed by AllPay. We do not store your full payment card details.
6.3 Failed Payments
If a renewal payment fails, AllPay will attempt to retry the charge. If payment cannot be collected after multiple attempts, your subscription may be suspended or cancelled. We will notify you of payment failures so you can update your payment method.
6.4 Price Changes
We reserve the right to modify subscription pricing. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.
7. Account & Responsibilities
7.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.
7.2 Acceptable Use
You agree not to:
- Use the Platform for any unlawful or fraudulent purpose.
- Interfere with or disrupt the Platform or its underlying infrastructure.
- Attempt to reverse-engineer, decompile, or extract source code from the Platform.
- Share your subscription credentials with unauthorized third parties.
- Upload or transmit malicious code, spam, or harmful content through the Platform.
- Resell, sublicense, or redistribute access to the Platform without written consent.
7.3 Data Accuracy
You are responsible for the accuracy and legality of all data you input into the Platform, including business information, service listings, and client data. You must comply with all applicable laws regarding the data you collect and process through the Platform.
8. Data & Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Platform, you consent to our data practices as described in the Privacy Policy.
You retain ownership of all business data you input into the Platform. We use your data solely to provide and improve the Service. We do not sell your business data to third parties.
9. Intellectual Property
All content, features, functionality, trademarks, and technology of the Nula Partners platform are owned by Nula and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for your business operations during the subscription term.
You retain ownership of all content you create or upload to the Platform. By uploading content, you grant us a limited license to display, process, and store it as necessary to provide the Service.
10. Service Availability & Modifications
10.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors beyond our reasonable control.
10.2 Modifications
We reserve the right to modify, update, or discontinue features of the Platform at any time. Material changes that affect your subscription will be communicated with reasonable notice.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Nula and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, business opportunities, or goodwill.
Our total aggregate liability for any claims arising from your use of the Platform shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nula, its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We may suspend or terminate your account if you materially breach these Terms, engage in fraudulent activity, or fail to cure a breach within 14 days of notice. Upon termination:
- Your access to the Platform will be immediately revoked.
- You may request an export of your business data within 30 days of termination.
- No refunds will be issued for the current billing period unless required by applicable law.
14. Dispute Resolution & Complaints
For billing disputes, please contact our support team at support@nula.me.
14.1 Complaint Resolution
We aim to acknowledge all complaints within 2 business days and resolve them within 10 business days. If we are unable to resolve your complaint within this timeframe, we will inform you of the expected resolution date. If you are not satisfied with the outcome, you may escalate the matter to the appropriate trade ombudsman or consumer protection authority in your jurisdiction.
14.2 Governing Law
Any disputes arising from these Terms that cannot be resolved amicably shall be governed by the laws of the State of Israel, and you consent to the exclusive jurisdiction of the courts located in Israel.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through a notice in the Partners dashboard at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
